Terms of service

1. The parties

The service is provided by Clément Bisaillon, a natural person carrying on a sole proprietorship under the name PmeWeb (NEQ 2282441759), with an establishment in Shawinigan, QC G9P 1C9, hereinafter "PmeWeb". The client is the business or person who subscribes to the service. For any question, write to info@pmeweb.ca.

2. The service

For $50 per month (plus taxes), PmeWeb designs, hosts and maintains a website for the client. The subscription includes design, hosting, a domain name and changes, with no limit on the number of requests. Routine changes (text, photos, hours, menu, adding pages) are usually done within 48 business hours. No upfront fees are charged. Optional additional services (for example ad management, article writing, Google Business Profile) are available and billed separately at the prevailing rates; they are subject to these terms.

3. Billing and payment

The subscription is billed monthly and in advance, by credit card or pre-authorized bank debit (in which case the client separately authorizes the pre-authorized debit agreement). Payments are processed by our payment provider, Stripe; PmeWeb does not store card numbers. The price may change on at least 30 days' notice. If payment fails, PmeWeb sends a reminder; the site may be suspended after 15 days overdue and the service terminated after 30 days overdue.

4. No commitment and cancellation

There is no minimum term and no penalty. The client may cancel at any time by writing to info@pmeweb.ca. Cancellation takes effect at the end of the month already paid: the site stays online until then. Started months are not refunded. PmeWeb may also terminate for non-payment or for a breach of these terms.

5. Domain name

Domain provided by PmeWeb. When PmeWeb registers a domain name for the client, it is registered in the client's name (the client is the registrant), and PmeWeb manages it and pays its fees as the client's agent. The client authorizes PmeWeb to register the domain in the client's name and to accept, on the client's behalf, the registrar's terms and, for a ".ca", CIRA's Registrant Agreement.

Domain the client already owns. If the client already owns a domain name, they remain the registrant and grant PmeWeb the access needed to manage its DNS configuration (usually by pointing the nameservers to Cloudflare). The client remains responsible for renewing their domain with their own registrar.

On cancellation. The client keeps their domain name. On request, PmeWeb provides the authorization (transfer) code and stops paying its fees. The client has a 30-day grace period to take over renewal with the registrar of their choice; after that period, if not taken over, the domain may expire.

The client warrants that they have the right to use the chosen domain name and that it does not infringe any trademark or other third-party right.

6. Content and intellectual property

The client remains the owner of the content they provide (text, photos, logos) and warrants that they hold the rights needed to use it; they hold PmeWeb harmless from any related claim. PmeWeb retains ownership of the code, templates and technical components that make the site work. On cancellation, the client leaves with their domain name and a copy of their content (text and images); the site's code and templates are not transferred.

7. Personal information (Law 25)

How we handle the personal information you send us is described in our privacy policy. When the client's site collects information from its own visitors (for example through a form), PmeWeb acts as the client's agent for that information and uses it only to provide the service. Each party agrees to notify the other without delay of any confidentiality incident it becomes aware of.

If the client subscribes to an optional marketing service, the content they entrust to us for that purpose (notes, documents, minutes or transcripts) is processed to deliver that service, including through artificial-intelligence providers located outside Quebec, as described in the client portal privacy policy. The client confirms they hold the rights and consents required in respect of that content.

8. Availability and liability

PmeWeb makes reasonable efforts to keep the site online and secure, but does not guarantee uninterrupted or error-free operation. The service is provided "as is". To the extent permitted by law, PmeWeb's total liability to the client is limited to the amounts the client paid during the last twelve months. PmeWeb is not liable for events beyond its reasonable control (force majeure, third-party provider outages, etc.).

9. Acceptable use

The client agrees not to use the service for content that is illegal, misleading or infringes the rights of others. PmeWeb may suspend or terminate the service in the event of a breach of this section.

10. Assignment

PmeWeb may assign these terms and the resulting agreement to a third party, in particular to a corporation it forms to continue its business (for example upon incorporation), without the client's consent; the client will be notified. The client may not assign their subscription without PmeWeb's written consent.

11. Changes and governing law

PmeWeb may change these terms on at least 30 days' notice. These terms are governed by the law applicable in Quebec, and any dispute falls under the courts of Quebec. The French version of these terms prevails.
